Terms of Service (Terms & Conditions)

BoatPost is a content-writing service for independent yacht and boat brokers in the United States. It is operated by North Star Atlas LLC, doing business as BoatPost ("BoatPost", "we", "us"). It drafts marketing content — listing announcement emails, social posts, newsletters, show invitations and related material — using information you provide about you, your brokerage and your boats.

These Terms & Conditions ("Terms") govern your access to and use of boat-post.nanocorp.app (the "Service"). By creating an account or using the Service, you agree to these Terms.

You need an account to use the Service. Accounts are created through our sign-in provider at the time you first sign in; you are responsible for the accuracy of the name and email address you use, and for keeping access to your email secure.

You must be at least 18 years old and able to form a binding contract to use the Service. You may not share your account with another person. One account per broker.

You may close your account at any time by contacting us. We may suspend or terminate accounts that violate these Terms, that do not pay amounts due, or that we reasonably believe are being used fraudulently or abusively.

The Service is offered on a free preview (your first Generation is free) and on paid monthly subscription plans: Starter, Pro and Done-for-You, each priced as shown on the pricing screen on the day you subscribe. Prices are shown in US dollars and include the fees we display; taxes may apply where required by law.

Subscriptions renew automatically each month through Stripe, our payment processor, until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. We do not pro-rate partial months.

Plan limits: each plan includes a monthly allowance of Generations (draft-generating actions), as shown on the pricing screen. Unused monthly allowance does not roll over. One-time Generations Top-Up purchases do not expire and are spent only after your monthly allowance is used. Top-Up purchases are non-refundable once the Generations are used.

We may change plan prices with at least 30 days' notice by email or on the Service; the change applies from your next renewal. You may cancel before the change takes effect.

The Service generates draft marketing content from the information you give it (your Broker Profile and the details you enter for each piece) together with general knowledge of the yacht and boat brokerage trade.

Drafts are machine-generated. They can be wrong, incomplete, or state things that are not true of a particular boat or market. You are responsible for reviewing every draft before you use it, for the factual accuracy of anything you send or publish (including price, model, equipment, hours, condition and availability), and for complying with the advertising, licensing and fair-housing and fair-trade rules that apply to you as a broker.

We do not guarantee that generated content is free of errors, is legally compliant for your jurisdiction, or will achieve any particular marketing result.

You keep all rights in the information you enter into the Service and in the drafts it produces for you. You grant us a limited license to process that information solely to operate the Service (generating, storing and displaying your drafts, and supporting you).

You represent that you have the right to the boat and brokerage information you enter, and that your use of the drafts will not violate any third party's rights.

We may store your drafts and profile so the Service works across sessions. If you close your account, we will delete your profile and drafts on request, subject to the retention described in our Privacy Policy.

You agree not to: use the Service to generate content that is deceptive, defamatory, harassing, or that misrepresents a boat, a transaction or your credentials; use it to send spam or to a list of people who have not asked to hear from you; resell or redistribute access to the Service; or attempt to disrupt, reverse-engineer or gain unauthorized access to the Service or its infrastructure.

We may investigate and suspend accounts for these violations.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, BoatPost's total liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve months before the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost listings or reputational harm, even if advised of the possibility.

Nothing in these Terms limits liability that cannot be limited by law.

We may modify or discontinue parts of the Service. Material changes that reduce the core Service will be announced at least 14 days in advance by email or on the Service.

We may update these Terms from time to time. The current version is always on this page with its "last updated" date. Continuing to use the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. [Governing law to be confirmed by counsel.]
